By accessing our website, submitting an inquiry, or entering into a consulting engagement with us, you ("Client" or "you") acknowledge that you have read, understood, and agree to be bound by these Terms.
Idaho Associates LLC is a privately held business strategy and capital acquisition consulting firm. We provide educational, strategic, and advisory services organized around the ICAT Framework (Income, Credit, Assets, Taxes).

All services are educational and strategic in nature. Clients are advised to consult licensed attorneys, CPAs, financial advisors, and other qualified professionals regarding specific legal, tax, securities, or investment decisions.
A formal consulting engagement is established only upon execution of a written engagement agreement signed by both the Client and an authorized representative of Idaho Associates LLC. No engagement is formed by submission of a website inquiry, attendance at a consultation, or exchange of correspondence.
The scope of each engagement, including deliverables, duration, fees, payment schedule, and performance expectations, will be defined in a separate written engagement agreement. These Terms supplement, but do not replace, the terms set forth in any such agreement. In the event of a conflict between these Terms and an executed engagement agreement, the engagement agreement controls.

The Firm does not guarantee any specific financial outcome, including but not limited to credit score changes, funding approvals, revenue growth, asset appreciation, or tax savings. Outcomes depend on a number of factors outside the Firm's control, including the Client's individual financial profile, market conditions, and the Client's own implementation of guidance provided.
Any case references, examples, or illustrations shared during the engagement are for educational purposes only and do not constitute a promise, projection, or warranty of future results.
Fees, payment amounts, and payment schedules are defined in the Client's written engagement agreement. Unless otherwise specified, all fees are payable in U.S. dollars via the payment methods designated by the Firm. Late payments may result in suspension of services until the account is brought current.
Clients retain all rights afforded under applicable card network rules and consumer protection law. Nothing in these Terms limits the Client's right to dispute a charge through legitimate channels provided by their card issuer.
Cancellation and refund rights are governed by our Refund Policy, which is incorporated into these Terms by reference. California residents retain all rights afforded by California law, including any applicable statutory cancellation periods.
All materials provided during an engagement — including frameworks, curriculum, written guides, recordings, worksheets, templates, and the ICAT methodology — are the sole intellectual property of Idaho Associates LLC. Clients are granted a limited, non-exclusive, non-transferable license to use these materials solely for the Client's own personal or internal business purposes.
Clients may not reproduce, republish, resell, distribute, or use our materials to develop or market competing services without prior written consent.
The Firm will treat Client information shared during the course of an engagement as confidential and will use such information solely for the purpose of delivering the engaged services. The Client agrees to maintain the confidentiality of other participants' information and of any proprietary materials provided by the Firm.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
To the fullest extent permitted by law, the total aggregate liability of Idaho Associates LLC, its officers, employees, and contractors arising out of or relating to any engagement or use of our website shall not exceed the total fees paid by the Client to the Firm during the twelve (12) months preceding the event giving rise to the claim.
In no event shall the Firm be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost business opportunities, or lost data, even if advised of the possibility of such damages. Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot lawfully be limited under applicable law.
The Client agrees to indemnify and hold harmless Idaho Associates LLC from any third-party claims, damages, or expenses (including reasonable attorneys' fees) arising from the Client's breach of these Terms, misuse of our materials, or violation of applicable law.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. The parties agree to first attempt to resolve any dispute through good-faith negotiation. If unresolved within thirty (30) days, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association in Los Angeles County, California, under its Commercial Arbitration Rules.
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information. The Client retains all rights to file complaints with applicable state or federal regulatory agencies.
We may update these Terms from time to time. Continued use of our services after a revision constitutes acceptance of the updated Terms. Material changes affecting active engagements will be communicated to affected Clients directly.
These Terms, together with the Client's written engagement agreement, the Privacy Policy, and the Refund Policy, constitute the entire agreement between the Client and the Firm regarding the subject matter hereof.

At Idaho Associates LLC, we believe in clear, transparent expectations between our firm and every Client we serve. This Refund Policy outlines the circumstances under which fees paid to the Firm may be refunded, the procedure for requesting a refund, and your rights as a cardholder.
Clients may cancel a consulting engagement and receive a full refund of all fees paid, provided that written notice of cancellation is received by the Firm within three (3) business days following the date of engagement commencement.
"Engagement commencement" is defined as the earlier of (a) the date the engagement agreement is fully executed, or (b) the date the Client first accesses any materials, sessions, or deliverables provided under the engagement.
How to cancel: Send written notice of cancellation to support@idahoassociates.com with the subject line "Cancellation Request" and include the Client's full name and date of engagement commencement. Notice is effective upon our receipt.
After the three (3) business day cancellation window, fees paid are generally non-refundable, except as follows:
Approved refunds will be processed to the original method of payment within ten (10) business days of approval. Depending on the card issuer or bank, additional time may be required for the refund to appear on your statement.
Nothing in this Refund Policy limits or waives any rights you may have as a cardholder under the rules of your card network or under applicable law. We encourage Clients to contact us directly at support@idahoassociates.com before initiating a chargeback so that we may attempt to resolve any concern promptly and in good faith.
